01Acceptance of these terms
By creating an account, downloading the software, or otherwise using HawkeRun — including this website, the customer dashboard, our APIs, and the downloadable supervisor application (collectively, the "Service") — you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
02The Service
HawkeRun is a durable, always-on supervisor that schedules, leases, monitors, and requeues tasks executed by third-party AI and command-line tools ("workers") that you choose to run. The supervisor application runs locally on hardware you control. This website and dashboard provide account management, licensing, billing, and — on eligible plans — optional managed features such as the email approval relay.
- You control your workers. HawkeRun orchestrates tools you install and configure (for example Claude Code, Codex, or Ollama). We do not supply those tools or their model providers.
- You bring your own keys. Any API keys, credentials, or model subscriptions used by your workers are your responsibility and are governed by the terms of their respective providers.
- The supervisor acts autonomously. By design it may start, stop (including force-terminating process trees), retry, and requeue work without per-action confirmation, subject to the policies you configure.
03Accounts and security
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials, your license keys, and all activity that occurs under your account. Notify us promptly at support@codehawke.com if you suspect unauthorized use. We are not liable for losses caused by unauthorized use of your account or keys.
04Plans, licensing, and entitlements
Access to paid features is governed by your plan and a license key issued to your account. Licenses are non-exclusive, non-transferable, and non-sublicensable, and are priced per supervisor host as described at hawkerun.com/#pricing. We may record device usage associated with a license (using a hashed machine identifier) to enforce plan limits and prevent abuse.
The Free tier is provided without charge and may be modified or discontinued at any time. Promotional or discounted pricing, where offered, applies only to qualifying accounts and on the terms stated at signup.
05Billing, renewals, and taxes
Subscriptions and auto-renewal
Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe, Inc.. Unless you cancel, subscriptions renew automatically at the end of each billing period at the then-current rate, and you authorize us to charge your payment method for each renewal.
Cancellation
You may cancel at any time from your dashboard. Cancellation stops future renewals; it takes effect at the end of the current billing period, and your paid access continues until then. Refunds, where available, are governed by our Refund & Cancellation Policy.
Price changes and taxes
We may change prices with at least 30 days' notice for the next billing period. Stated prices exclude taxes; you are responsible for any applicable sales, use, VAT, GST, or similar taxes, which may be added at checkout.
06Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. In short, you must not use HawkeRun to break the law, harm others, infringe rights, circumvent the access controls of any system, or run workers that you are not authorized to run. You are solely responsible for the tasks you queue and the actions your workers take on your systems.
07The downloadable software
The supervisor application is licensed, not sold, to you under our End User License Agreement (EULA). The EULA governs your installation and use of the software itself; in the event of a conflict between the EULA and these Terms with respect to the software, the EULA controls.
08Your content and responsibilities
"Your Content" means the project files, task definitions, prompts, logs, outputs, and other materials you create, queue, or process with the Service. As between you and us, you retain all rights to Your Content. You grant us a limited license to host, process, and transmit Your Content only as needed to operate and support the Service (for example, to relay an approval request you have enabled).
You represent that you have all rights necessary to use Your Content with the Service and that doing so does not violate any law or third-party right. You are responsible for maintaining your own backups; the local supervisor stores its state on your hardware.
09Intellectual property
The Service, including the website, dashboard, software, and all related trademarks, logos, and content (excluding Your Content and any open-source components under their own licenses), is owned by Noob Media LLC (d/b/a CodeHawke) and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. "HawkeRun" and associated marks may not be used without our prior written permission.
10Third-party services
The Service interoperates with third-party tools, model providers, and platforms that you choose to connect. We do not control and are not responsible for those services, their availability, or their terms. Your use of them is at your own risk and subject to their agreements.
11Beta and experimental features
Features labeled alpha, beta, preview, or experimental are provided "as is" for evaluation, may change or be withdrawn at any time, and may be less reliable than generally available features. We may collect additional feedback and usage data from such features to improve them.
12Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL PREVENT DATA LOSS, STALLED WORKERS, OR UNINTENDED ACTIONS BY THE TOOLS YOU RUN.
HawkeRun is an orchestration and reliability layer. It does not guarantee the correctness, safety, or outcome of any task performed by an AI or CLI worker. You are responsible for reviewing and controlling what your workers are permitted to do, especially when running autonomously and unattended.
13Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEHAWKE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
14Indemnification
You will defend, indemnify, and hold harmless Noob Media LLC (d/b/a CodeHawke) and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, the tasks and workers you run, or your breach of these Terms or applicable law.
15Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, create risk or legal exposure for us or others, or as required by law. On termination, your right to use the Service ends and your license key may be deactivated. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute terms) will survive.
16Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. You and CodeHawke agree to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia, United States for any dispute that is not subject to arbitration or that is otherwise permitted to be brought in court. Nothing in this section prevents either party from seeking injunctive relief to protect its intellectual property.
17Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-product notice) before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18Miscellaneous
- Entire agreement. These Terms, together with the EULA, Privacy Policy, Acceptable Use Policy, and any order or plan you accept, are the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We may send notices to your account email; you may send legal notices to Noob Media LLC (d/b/a CodeHawke), PO Box 872, Great Falls, VA 22066, USA.
